(a) the receiving Party shall not use the Confidential Information for its own use to produce a competing product or for any other purpose except to evaluate whether it desires to enter into a business relationship with the disclosing Party or as necessary to carry out the terms of such business relationship;
(b) the receiving Party shall only disclose the Confidential Information to employees within the receiving Party’s organization or Affiliate organization who have a need to know and solely for the purpose specified in this Agreement;
(c) the Confidential Information received from the disclosing Party shall be protected and kept in strict confidence by the receiving Party; which must use the same degree of precaution and safeguards as it uses to protect its own Confidential Information of like importance, but in any case no less than reasonable care;
(d) the receiving Party shall take all reasonable security measures and use all reasonable care to preserve and protect the security of, and to avoid disclosure or use of the Confidential Information;
(e) the receiving Party shall promptly advise the disclosing Party in writing of any misappropriation, misuse or disclosure not permitted by this Agreement by any person of such Confidential Information which may come to its attention; and
(f) the receiving Party shall not copy, not otherwise reproduce or duplicate, in whole or in part, any of the Confidential Information, unless the same has been specifically authorized in writing by the disclosing Party.
